Thomas Stern est universitaire en droit et expert réglementaire, avec près de deux décennies d’expérience professionnelle en droit européen des marchés financiers et en surveillance bancaire transfrontalière. Avant de rejoindre Bergt Law, il a occupé plusieurs fonctions dirigeantes auprès de l’Autorité des marchés financiers du Liechtenstein (FMA), dernièrement comme responsable de la division de résolution des banques et entreprises d’investissement et auparavant comme responsable adjoint de la surveillance bancaire.

Sa pratique porte sur le droit bancaire et financier du Liechtenstein et de l’Europe, notamment les autorisations, enregistrements et questions prudentielles au titre de MiCAR, PSD2, MiFID II et CRD/CRR. Il accompagne les modèles d’affaires réglementés de leur conception stratégique et de l’accès au marché jusqu’à la conformité continue, la gouvernance et les échanges avec les autorités de surveillance.

Pratique réglementaire et profondeur académique

Son travail combine une longue expérience de la surveillance, une expérience de rédaction législative et la recherche académique. Les questions complexes peuvent ainsi être analysées non seulement sous l’angle de l’interprétation juridique, mais aussi de la surveillance, de la gouvernance, de la gestion de crise et de la mise en œuvre.

Autorisation & réglementation financière

Conseil en accès au marché, autorisation, enregistrement, qualification réglementaire et surveillance continue des banques, entreprises d’investissement, prestataires de services de paiement et autres intermédiaires financiers, notamment sous MiCAR, PSD2, MiFID II et CRD/CRR.

Gouvernance, compliance & dialogue prudentiel

Accompagnement en gouvernance, compliance, fit & proper, systèmes de contrôle interne, organisation prudentielle et communication structurée avec les autorités, y compris dans les dossiers transfrontaliers.

Restructuration, recovery & resolution

Expertise en restructuration d’entreprise, droit préventif de l’insolvabilité et régimes de recovery et resolution, y compris plans de redressement, intervention précoce, plans de résolution et gestion de crise.

Recherche, législation & comités européens

Enseignement dans plusieurs universités européennes, environ 100 publications spécialisées, commentaires juridiques et ouvrages collectifs, ainsi qu’une solide expérience de la législation, des normes et de la politique prudentielle européennes. Son parcours comprend aussi la participation à des organes d’experts de la Commission européenne, de l’EBA et du SSM.

Thomas Stern est historiquement le premier juriste auquel une habilitation (venia legendi) en droit a été décernée au Liechtenstein. Son habilitation couvre le droit bancaire et des marchés financiers, y compris ses fondements européens et EEE.

Son approche scientifique, fondée sur les preuves et orientée vers les données complète la méthode de Bergt Law : sophisticated and sustainable legal solutions à l’intersection de la réglementation, de l’innovation, de la gouvernance et de la stabilité financière.
